Assignment and Licence Agreements For IP assignments and licences, Japanese law dis- tinguishes between contractual issues and propri- etary issues. Contractual issues such as formation, interpretation, performance, breach and termination are governed by the law applicable to the contract. By contrast, proprietary issues such as assignability, licensing requirements and perfection or enforceabil- ity against third parties are generally governed by the law of the country of registration or protection of the relevant IP right.
