From cap - ital markets to employment law, foreign investment rules and environmental compliance, the framework governing PE activity has become more modern and aligned with EU standards, and ultimately more sup - portive of sustainable, long-term investment. The introduction of Law 5193/2025, in particular, has made it easier for companies to raise funds, list on public markets and attract institutional investment. At the same time, the launch of Greece’s first FDI screen - ing regime has added a layer of regulatory discipline to transactions involving strategic sectors – providing both protection for national interests and predictability for investors. PE firms operating in Greece now enjoy greater flex - ibility in how they structure their investments. Whether through listed vehicles, hybrid debt instruments or continuation funds, sponsors can tailor their approach to fit the unique characteristics of the Greek market. Exit options have also expanded, with more stream - lined IPO pathways and growing confidence in local and regional exchanges.
That said, we are in a seller’s market cycle, with a surplus of dry powder and an operating environment with room for improvement in terms of complexity. New rules around digital time tracking, data security and ESG compliance require investors to take a holis - tic view of risk and opportunity. Legal due diligence must now go beyond traditional financial metrics to include environmental liabilities, workforce practices, cyber-resilience, and compliance with sector-specific authorisation requirements. Transactions that over - look these dimensions risk delays, penalties or repu - tational damage. Nonetheless, with the right advisers, structures and long-term mindset, Greece offers a compelling propo - sition. The country’s steady economic recovery, gov - ernment-backed reforms and sectoral diversification make it a promising market for investors in general, and for PE investors in particular, seeking both value and growth. As the regulatory framework continues to evolve, investors who stay ahead of the curve will be well positioned to capitalise on the next wave of opportunities in Greece.
